Job Description

We are a construction company that is looking to make a business acquisition. We are beginning the process of lead sourcing, and we expect a volume of appointments between 2 to 5 appointments a week with owners and (sometimes) their broker. As this is our first acquisition, we are seeking an experienced M&A Consultant/Broker or acquisitions expert to be in our corner and ensure that everything goes smoothly.

Responsibilities include:
– Negotiation: Leading and advising on negotiations with the seller and their broker to ensure favorable terms.
– Valuation: Providing a thorough and independent valuation of the target business.
– Due Diligence: Conducting comprehensive due diligence to uncover any potential risks or issues.
– Financing: Assisting in securing and structuring financing for the acquisition. We plan to use the SBA 7(a) loan program and are currently interviewing potential lenders, but we are open to the right consultant making introductions on this front.

-Assisting in Creating creative financing strategies to optimize capital structure.

Future Opportunities:
While this engagement is specifically for the current acquisition, we aim to make a private equity play in the construction space. if the first acquisition pans out, We’re looking for a long-term partner who can help us identify and execute additional acquisition opportunities in the future.

Qualifications:
– Proven experience in M&A and/or sales. Experience in the construction sector a huge plus.
– Strong negotiation and financial analysis skills.
– Ability to conduct thorough due diligence and provide strategic insights.
– Experience in securing and structuring financing for acquisitions, including familiarity with the SBA 7(a) loan program.

We are open to working with the right person on an hourly or flat rate basis.
