Job Summary:
We are seeking a highly skilled and diligent Business Lawyer to enhance our Mergers and Acquisitions team. The ideal candidate will have a robust understanding of U.S. corporate law, exceptional attention to detail, and the ability to manage multiple projects effectively. This role demands a self-starter with outstanding communication skills who is focused on delivering timely results.
Key Responsibilities:
Legal Analysis & Strategy Development: Conduct thorough legal due diligence for potential acquisitions. Develop and implement effective strategies aligned with client goals.
Contract Management: Draft, review, and negotiate various legal documents, including but not limited to merger agreements, purchase agreements, and partnership deeds.
Compliance & Risk Management: Ensure all transactions comply with relevant U.S. federal and state laws. Identify and advise on potential legal risks.
Client Consultation: Provide clear, strategic advice to clients regarding the structuring of transactions to maximize legal and business outcomes.
Project Coordination: Work closely with multiple stakeholders to ensure project milestones are met. Coordinate with financial advisors, tax experts, and other legal professionals.
Communication and Reporting: Maintain high levels of communication with clients and the internal team. Prepare detailed reports on transaction progress and outcomes.
Qualifications:
Juris Doctor (JD) from an accredited law school.
Minimum of 3 years of experience in corporate law, with a focus on mergers and acquisitions.
Strong understanding of U.S. corporate governance and regulatory environment.
Proven ability to handle complex legal projects.
Exceptional written and verbal communication skills in English.
Skills:

Strong organizational skills and the ability to manage multiple timelines.
Independent self-starter and proactive problem solver.
High proficiency in legal research and analysis tools.
Excellent interpersonal skills to foster client relationships and collaborate with team members.
