Job Description

Job Title: Corporate Counsel/Business Attorney

Department: Legal

Reports To: CEO

Summary:

We are seeking a highly skilled and experienced Corporate Counsel/Business Attorney to join our growing marketing company. The ideal candidate will be responsible for providing comprehensive legal support to the company, including contract drafting and review, entity formation and restructuring, legal compliance, and tax strategy advice. This role requires a strong understanding of corporate law, contract law, and tax law, as well as excellent communication and negotiation skills.

Responsibilities:

Contract Drafting & Review:

Draft, review, and negotiate a wide range of contracts, including vendor agreements, client agreements, employment agreements, and non-disclosure agreements.
Ensure contracts are legally sound, protect the company’s interests, and comply with applicable laws and regulations.

Legal Compliance:

Manage all aspects of legal compliance for the company, including annual filings with the state, compliance with industry regulations, and data privacy compliance.
Develop and implement policies and procedures to ensure compliance with legal requirements.
Conduct legal research and provide guidance on legal issues related to the company’s operations.

Entity Formation & Restructuring:

Advise on the formation of new entities, including corporations, LLCs, and partnerships.
Assist with the restructuring of existing entities, including mergers, acquisitions, and dissolutions.
Prepare and file all necessary legal documents related to entity formation and restructuring.

Tax Strategy Advice:

Provide advice on tax strategies to minimize the company’s tax liability.
Work with external tax advisors to ensure compliance with tax laws and regulations.
Stay abreast of changes in tax laws and regulations and advise the company on their impact.

Other:

Manage litigation and dispute resolution, as needed.
Provide legal training and education to employees.
Perform other duties as assigned.

Qualifications:

Education: Juris Doctor (J.D.) degree from an accredited law school.
Experience: 5+ years of experience in corporate law, contract law, and/or tax law.

Skills:

Strong understanding of corporate law, contract law, and tax law.
Excellent contract drafting and negotiation skills.
Ability to analyze complex legal issues and provide practical solutions.
Excellent communication and interpersonal skills.
Ability to work independently and as part of a team.
