Job Description

The Decision Group Inc. is a very small consultancy based in California. Recently, one of our clients requested that their complex energy related contracts be analyzed and all obligations contained in those contracts be copied into an Excel database format that they provide. A small excerpt of one of the contracts is contained below.

We would like to have an attorney or paralegal work for us on a project basis. The candidate must be able to:
-Read and write clearly in American English.
-Identify and copy/paraphrase all obligations contained in these contracts.
-Identify who is responsible for the obligation, the section, paragraph, and clause the obligation can be found in the contract, etc.
-Be available for occasional calls/meetings during California time
-Follow instructions and perform work with a high-level of detail, accuracy, and efficiency
-Maintain confidentiality

In essence, we are parsing complex energy contracts into a database format to understand and track obligations. There are approximately 20 contracts of about 400 pages in length each..

Work can be done in Philippine time zones. You must have a computer, internet connection, Adobe Acrobat, MS Word, Excel, etc.

We are looking to get started right away, and we may bring on more than one person to assist with this work.

Contract Extract Example:

Subject to Section 1.08,
Seller shall dedicate and convey any and all Capacity Attributes and Resource Adequacy Benefits generated by, associated with or attributable to the Generating Facility throughout the Delivery Term to Buyer and Buyer shall be given sole title to all such Capacity Attributes and Resource Adequacy Benefits in order for Buyer to meet its resource adequacy obligations under any Resource Adequacy Rulings.

Seller represents, warrants and covenants to Buyer that:
(i) As of the Effective Date, Seller has not used, granted, pledged, assigned or otherwise committed any portion of the generating capacity of the Generating Facility to meet the Resource Adequacy Requirements of, or to confer Resource Adequacy Benefits on, any entity other than Buyer during the Delivery Term; and
(ii) Throughout the Delivery Term, Seller will not use, grant, pledge, assign or otherwise commit any portion of the generating capacity of the Generating Facility to meet the Resource Adequacy Requirements of, or to confer Resource Adequacy Benefits on, any entity other than Buyer.
